
Zu’bi & Partners Advises Nass Corporation B.S.C. (c) on voluntary exit offer and delisting from Bahrain Bourse
Zu’bi & Partners acted as legal counsel to Nass Corporation B.S.C. (c) (formerly Nass Corporation B.S.C.) (the Offeree/Company) in connection with the successful conditional voluntary exit offer by A A N S D Company W.L.L. and the subsequent delisting of the Company’s shares from the Bahrain Bourse, and its conversion from a public shareholding company to a closed shareholding company.
The transaction complied with the CBB Rulebook (Takeovers, Mergers and Acquisitions Module), the Bahrain Bourse Listing Rules, and the Commercial Companies Law, and involved extensive regulatory engagement with the Central Bank of Bahrain, the Bahrain Bourse, and the Ministry of Industry and Commerce.
Zu’bi & Partners advised the Company throughout all phases of the transaction, including regulatory strategy, preparation and review of the offeree board circular and related disclosures, shareholder approvals, delisting procedures, and corporate conversion.
